Counsel to Première Moisson Group Inc., a subsidiary of METRO Inc., in connection with its strategic partnership with FGF Brands Inc.

Miller Thomson acted for Première Moisson Group Inc. (“Première Moisson”), a subsidiary of METRO Inc. (TSX:MRU), in connection with its strategic partnership with FGF Brands Inc. (“FGF”), a Canadian company that operates several bakery production facilities, including one in Quebec.

In connection with this transaction, which had an aggregate consideration of $90 million, FGF acquired the bread and pastry production facility in Baie-D’Urfé, as well as certain production lines in Vaudreuil-Dorion. FGF will now be responsible for the production and distribution of Première Moisson products sold in grocery stores, in addition to serving customers in the institutional sector. Première Moisson retains ownership of its brand, its network of 25 stores across Quebec, its in-store artisanal production operations, and its French pastry manufacturing facilities in Vaudreuil-Dorion, which will continue to supply its store network exclusively.

Founded in 1992, Première Moisson has become a leading name in artisanal baking in Quebec, renowned for the quality, freshness, and authenticity of its products.
