Andrew Powers co-leads the firm’s Mining Law Group and is a partner in the firm’s Business Law Group in Toronto. Recognized as a leader in his field, Andrew’s practice focuses on corporate and securities law, including corporate finance, mergers and acquisitions, corporate governance and shareholder activism. Andrew’s expertise in equity and debt capital markets combined with his practical, thorough and responsive approach put him in high demand for clients with sophisticated corporate and securities law matters. Andrew has unmatched experience in both public and private securities offerings for issuers, institutional investors and broker-dealers, with extensive experience in debt capital markets transactions. In his mergers and acquisitions work, Andrew supports both acquirers and targets in takeover bids, plans of arrangement, reverse takeovers and other business combinations.

Andrew has an extensive background in matters involving mining and natural resources, both domestically and internationally. Andrew has more than 20 years’ of experience assisting mining companies through the full life-cycle of their projects. Andrew is well-versed in all aspects of the development, construction and operation of mining projects. He has advised on Indigenous issues and claims, environmental and regulatory compliance matters and permitting issues, as well as mine closure, decommissioning and reclamation issues. Andrew has advised on leading transactions in the mining sector and frequently supports clients on complex commercial arrangements, including royalty agreements and streaming transactions.
