Miller Thomson Advises Marquee Brands on Take-Private Acquisition of Roots Corporation

Canadian counsel to Marquee Brands, an affiliate of Neuberger, with respect to the acquisition of Roots Corporation

Miller Thomson acts as Canadian legal adviser to Marquee Brands, an affiliate of Neuberger, in connection with its agreement to acquire Roots Corporation (TSX: ROOT), through its strategic operating partner. As part of the transaction, Marquee Brands has partnered with JM&A Design and Development, led by Canadian retail experts Joseph Mimran and Frank Rocchetti. JM&A will serve as core operating partner of Roots while Marquee Brands will focus on global brand stewardship and expansion, as well as new category development.

Established in 1973, Roots is a global lifestyle brand. Starting from a small cabin in northern Canada, Roots has become a global brand that operates more than 100 locations in Canada, two stores in the United States, and an e-commerce platform, roots.com. Roots also has more than 100 partner-operated stores in Asia and operates a Roots-branded storefront on Tmall.com in China.

Marquee Brands is a leading global brand owner, marketer and media company. Owned by funds managed by Neuberger, one of the world’s leading employee-owned investment managers, Marquee Brands scales timeless brands across markets and channels to unlock value and build global influence.

The transaction is to be completed by way of a plan of arrangement under the Canada Business Corporations Act. Closing is targeted for the fourth quarter of 2026.
