Arvia Environmental Systems Inc. and its shareholder complete transactions with Vacterra Hydrovac Inc. and Clearwater Environmental Ltd.

Counsel to Arvia Environmental Systems Inc. and its shareholder with respect to their transactions

On August 1, 2026, Arvia Environmental Systems Inc. and its shareholder completed a series of coordinated transactions that brought Arvia together with Vacterra Hydrovac Inc. and Clearwater Environmental Ltd. under Protect Pharmaceutical Corp. (OTC: PRTT). As part of the transactions, PRTT’s Canadian subsidiary acquired Vacterra and Clearwater from Horizon Enterprises Ltd. and separately acquired Arvia from its shareholder. PRTT also approved a change of its corporate name to Arvia Environmental Holdings Ltd.

Vacterra provides hydro-excavation and related underground utility services throughout British Columbia, while Clearwater operates a hydrovac transfer station that processes and recycles non-contaminated hydrovac slurry. The combined businesses provide complementary services across the hydrovac excavation, environmental processing and materials-recovery value chain.

The transactions were completed through a cross-border exchangeable share structure under which the Canadian vendors received exchangeable shares of PRTT’s Canadian subsidiary supported by corresponding series of PRTT preferred shares. The resulting business will operate under the Arvia brand, with the Vacterra brand retained for its hydrovac truck operations.
