TTNM Management Completes Acquisition of Titanium Transportation

Counsel to Titanium Transportation with respect to its sale to TTNM Management

On March 31, 2026, Titanium Transportation Group Inc. (“Titanium”) (TSX: TTNM) announced the completion of a transaction pursuant to which TTNM Management Acquisition Limited acquired all of the issued and outstanding common shares of Titanium (“Shares”), other than certain Shares held by members of management, directors and key employees of Titanium, and persons known directly by management and/or directors of Titanium (“Rollover Shares”), by way of a statutory plan of arrangement under the Canada Business Corporations Act. Under the terms of the transaction, holders of Shares received $2.22 in cash for each Share held, which implies an aggregate equity value for Titanium (including the Rollover Shares) of approximately $105 million.

Titanium is a North American transportation company with asset-based trucking operations and logistics brokerages servicing Canada and the United States, with approximately 775 power units, 2,800 trailers and 1,300 employees and independent owner operators.
