Miller Thomson Advises Founders Metals Inc. on Consolidation of 100% Ownership of Antino Gold Project and C$77 Million Strategic Investment by Gold Fields
Counsel to Founders Metals Inc. with respect to the consolidation of 100% ownership of the Antino Gold Project and C$77 million strategic investment by Gold Fields
On September 17, 2026, Miller Thomson advised Founders Metals Inc. (the “Company”) in connection with its acquisition (the “Transaction”) of the remaining 30% of the issued and outstanding shares of Lawa Gold N.V. from Nana Resources N.V. (“Nana”). Pursuant to the Transaction, Nana received US$17,000,000 in cash and 13,568,944 common shares of the Company as consideration. Following completion of the Transaction, the Company holds a 100% royalty-free interest in the Antino Gold Project in southeastern Suriname.
Miller Thomson also advised the Company on the concurrent closing of a C$76.96 million strategic investment by Gold Fields Netherlands Services B.V. (“Gold Fields”), an affiliate of Gold Fields Limited (the “Gold Fields Investment”). Under the Gold Fields Investment, the Company issued 14,146,850 common shares at a price of C$5.44 per share to Gold Fields, increasing Gold Fields’ ownership to approximately 19.9% of the Company’s issued and outstanding common shares.
The Company is a Canadian gold exploration company focused on building a district-scale gold camp in southeastern Suriname.
