Zachary Masoud

Biography description

Zachary Masoud is a Partner in the Financial Services and Projects groups in the Toronto office of Miller Thomson LLP.

Zachary’s practice focuses on all aspects of domestic, cross-border and multi-jurisdictional banking and secured and unsecured lending transactions, including acquisition financings, project finance, mining finance, fund finance, syndicated and bilateral financings and mezzanine financings. Zachary regularly represents Canadian and foreign banks, private equity firms, and domestic and international corporations.

Zachary also advises on complex national and international project financings, project development matters and commercial arrangements on energy, mining and infrastructure projects in Canada, the United States, South America and Africa. On such project finance and project development transactions, Zachary regularly advises sponsors, lenders, project developers and Canadian and international financial institutions, providing them strategic, practical and client and project-focused solutions.

Zachary joined Miller Thomson in 2025. Prior to joining the Firm, he was a Partner and member of the financial services and projects groups in the Toronto office of another leading full-service firm.

Zachary is a frequent panelist and speaker at industry events and universities on financing and market trends, including educational seminars for banks, sponsors and law students. Zachary was also a course instructor for Osgoode‘s Professional LLM in Energy and Infrastructure Law. Program. Before joining the firm, he gained financial services experience as a Senior Credit Underwriter with HSBC in Montreal and as a legal intern at Consilium Law Corporation in Singapore, an international boutique law firm specializing in corporate law.
