Miller Thomson acted for the Société de développement des entreprises culturelles (SODEC), a Quebec government agency whose primary role is to administer financial assistance to cultural companies in Quebec, in connection with its first-ever equity investment. Although SODEC has traditionally acted as a lender, the Government of Quebec recently expanded its mandate to allow it to acquire shares in various companies. Miller Thomson advised SODEC throughout this inaugural equity investment, which was made in Difuze Inc., a company specializing in versioning and postproduction services.

SODEC invested in Difuze alongside a renewed investment from the Fonds de solidarité des travailleurs et des travailleuses du Québec (FTQ). Miller Thomson supported SODEC throughout the full transaction lifecycle, including the due diligence review, negotiation of transactional documents, and closing.

Miller Thomson advised SODEC on this transaction with a team comprised of Philippe St-Louis, Josyane Ledoux, Karel Mahy-Rousseau, Jennifer White, and Eliab Tairou.
