Counsel to Serge Boulanger with respect to the strategic acquisition of Alipro-Mistral Ingredients Inc.

On May 12, 2025, Serge Boulanger, a renowned corporate director from the agri-food industry, announced his acquisition of Alipro-Mistral Ingrédients Inc. (“Alipro”) and Gestion Immobilière Plasse Inc. (“GIP”). This large-scale transaction marks an important, strategic milestone for Mr. Boulanger in his plan to expand within the Canadian agri-food industry.

The Miller Thomson team served as legal and business advisors for Mr. Boulanger, working in close collaboration with Investissement Québec and the Royal Bank of Canada, who provided the financing.

Established in 1997 by the Plasse family, Alipro is a leading developer, manufacturer, and wholesaler of high-end food ingredients, including fillings, icing, fondants, glazes, and jellies for various food industry purposes. The Alipro production plant is held by Gestion Immobilière Plasse Inc. (“GIP”) who tends to the infrastructure and stability of operations.
