Thesis Gold & Silver Inc. Closes Strategic Investment by AngloGold Ashanti and Participation by Centerra Gold for $44 Million

On February 26, 2026, Thesis Gold & Silver Inc.  (the “Company”) closed its strategic investment with AngloGold Ashanti plc. (“AngloGold Ashanti”), where the Company issued 13,858,883 common shares at a price of $2.79 per common share for gross proceeds of $38,666,284. In connection with AngloGold Ashanti’s investment, the Company and AngloGold Ashanti entered into an investor rights agreement to govern their relationship.

Pursuant to existing investor rights held by Centerra Gold lnc. (“Centerra”), Centerra exercised its participation right in the private placement to maintain its pro rata ownership in the Company and subscribed for 2,059,730 common shares at a price of $2.79 per common share for gross proceeds of $5,746,647.

The Company is Canadian precious metals development company focused on advancing its 100%-owned Lawyers-Ranch Gold-Silver Project (the “Project”) in British Columbia’s Toodoggone Mining District. The proceeds from the private placement will be used for working capital and general corporate purposes, including work related to the technical studies currently underway at the Project.
