Lithium Africa Corp. (formerly Lombard Street Capital Corp.) Completes Qualifying Transaction

On February 11, 2026, Lithium Africa Corp. (formerly Lombard Street Capital Corp.) (the “Company”) announced the completion of its Qualifying Transaction with Lithium Africa Resources Corp. (“LARC”). The transaction involved Lithium Africa Corp.’s continuation from Ontario to the Cayman Islands, a corporate name change, a share consolidation, and the acquisition of all issued and outstanding shares of LARC through a Cayman Islands merger structure involving a wholly-owned subsidiary of the Company and LARC. In connection with the closing, the Company issued 18,387,927 common shares to former LARC shareholders.

The transaction positions Lithium Africa Corp. as a mining company focused on the acquisition, development, and operation of mineral properties in Africa, including LARC’s Adzope project in Ivory Coast and Birthday Gift project in Zimbabwe.

The common shares of Lithium Africa Corp. commenced trading on the TSX Venture Exchange under the ticker symbol “LAF.V” on February 19, 2026, as a Tier 2 issuer.
