Miller Thomson acted as Canadian legal counsel to Suprajit Engineering Limited (“Suprajit“) in connection with its global acquisition of Stahlschmidt Cable Systems (“SCS“), a complex, multi-jurisdictional transaction completed in two tranches. The acquisition involved both asset and share purchases across five countries—Germany, Poland, Morocco, China, and Canada—and required coordination with international advisors and stakeholders. Miller Thomson advised Suprajit on the Canadian transaction, highlighting the firm’s depth of experience in cross-border transactions and its integrated, multidisciplinary approach to supporting clients through complex strategic acquisitions.

Suprajit is India’s largest manufacturer of automotive cables and halogen bulbs, with a global annual capacity of over 400 million cables and 110 million bulbs. Serving a broad base of leading global automotive OEMs and Tier 1 suppliers, Suprajit operates across four continents with multiple manufacturing plants, technical centres, and distribution hubs. The acquisition of SCS—a Germany-headquartered manufacturer of light-duty cables with facilities in Morocco and China—significantly strengthens Suprajit’s global footprint and enhances its ability to offer low-cost, customer-centric supply chain solutions.

The Miller Thomson team was co-led by Jay Hoffman and Adam Bata and included Andrea Chiu and Eugene Yeung (Corporate/M&A), Gregory Azeff (Restructuring & Insolvency), Michelle MacGillivray (Labour & Employment), and Stefan Mirkovic (Financial Services).
