On April 1, 2025, the shareholders of a leading Canadian elevator and solar energy installation and maintenance firm, completed a shotgun buy/sell transaction pursuant to the terms of an existing shareholders’ agreement. The transaction resulted in 100% of the ownership and control of the business being acquired by the purchasing shareholder following a strategically initiated offer under the shotgun clause.
