Max Spearn is the National Leader of Miller Thomson’s Corporate, M&A and Securities Practice Group. With nearly 20 years of experience, Max advises entrepreneurs, family-owned enterprises, high-growth companies, and public and private organizations across a broad range of industries, helping them navigate complex business opportunities, manage risk and achieve their strategic objectives.
Known for his practical and business-minded approach, Max serves as a trusted advisor to clients throughout the lifecycle of their organizations. He works closely with business owners, executives and boards to support growth initiatives, business transitions, governance matters and transformative transactions. Max has extensive experience leading domestic and cross-border transactions, including mergers and acquisitions, asset and share purchases and sales, debt and equity financings, and corporate reorganizations. He regularly advises clients across a range of sectors, including in the technology, manufacturing and distribution, hospitality, professional services, healthcare, insurance, real estate and automotive sectors.
A significant part of Max’s practice involves working with U.S.-based businesses and law firms on cross-border transactions and Canadian market entry strategies. He helps clients structure investments, acquisitions and business operations in Canada while navigating the legal and regulatory considerations that accompany cross-border growth.
In addition to transactional matters, Max negotiates and drafts a wide range of commercial agreements, including shareholder, partnership and joint venture agreements, service agreements and other key business contracts. His advice is grounded in a practical understanding of his clients’ businesses, enabling him to develop solutions that are efficient and tailored to their long-term objectives.
