The Planting Hope Company completes IPO and commences trading on the TSX-V

November 26, 2021

On November 15, 2021, The Planting Hope Company Inc. (“Planting Hope”) (TSX-V:MYLK) announced the completion of its initial public offering (the “Offering”), as well as the successful listing of its subordinate voting shares (“Shares”) on the TSX Venture Exchange under the stock symbol “MYLK” which commenced trading on November 18, 2021. The Offering consisted of a sale of 22,500,000 Shares at a price of $0.40 per Share for gross proceeds of $9,000,000.

The Offering and listing follows Planting Hope’s cross-border acquisition (the “Acquisition”) of Spinning Wheel IP, LLC, a manufacturer of plant-based foods headquartered in Chicago, IL, which closed on August 25, 2021. The Acquisition allows Spinning Wheel to go public in Canada and gain access to Canadian capital markets. In connection with the Acquisition, Planting Hope issued unsecured convertible notes in the aggregate principal amount of $5,000,000 and provided a bridge loan to Spinning Wheel.

Planting Hope develops, launches and scales uniquely innovative plant-based and planet-friendly food & beverage brands, including Hope and Sesame®. Planting Hope is led by an all-women Board and C-suite, one of the first on any listed exchange in Canada and amongst very few globally.

Miller Thomson advised Planting Hope on the Offering and Acquisition with a team comprised of Lucy Schilling, Rory Godinho, Iain Mingo (Capital Markets) as well as Neil Gurmukh (Corporate Tax).
