Michael Pace is a partner and Co-Chair of the Business Law Group of Miller Thomson llp in Toronto. His practice focuses on corporate and commercial law matters with an emphasis on merger and acquisition transactions. He acts for corporations, both public and private, and clients in a diverse range of industries, including insurance, construction materials, electricity, manufacturing, health and software and several service sectors.
He also provides corporate and commercial advice to a number of substantial not-for-profit corporations, charities and hospitals, including several Ontario self-regulatory organizations.
He has extensive experience with business financing and loan work-outs, securities transactions, franchising and licensing, and a number of business initiatives, including joint ventures, and restructuring. Mr. Pace has headed teams of Miller Thomson lawyers on major multi-jurisdictional domestic and cross-border acquisitions and sales. He has recently been involved in the creation of several international joint ventures between Canadian and United States companies.
He regularly addresses boards of directors, standing committees, and special committees on their duties, liabilities, legal protections and other governance related matters.
In the past several years, he has worked on a number of substantial information technology, software and Internet contracts and outsourcing agreements.
His experience and knowledge in a wide range of areas of business law are key assets to clients who require timely input on day-to-day business decisions, as well as on time-sensitive negotiations during major transactions.
Mr. Pace understands the adversities encountered by clients in business and has practical knowledge enabling him to anticipate and prevent some of these situations. This, and ensuring that clients receive cost-effective counsel on all matters, have helped him to earn and maintain longstanding relationships with clients.
