Cette protection constitue un avantage ind\u00e9niable pour les administrateurs. Elle n\u2019est toutefois accord\u00e9e qu\u2019\u00e0 certaines conditions, la principale \u00e9tant que les administrateurs doivent pouvoir se fier \u00ab&nbsp;de bonne foi&nbsp;\u00bb aux experts.<\/p>\n\n\n\n<p>Se fier \u00e0 quelqu\u2019un signifie avant tout s\u2019en remettre \u00e0 cette personne et lui accorder sa confiance. Un administrateur peut faire confiance \u00e0 un expert, tout simplement en appliquant \u00e0 la lettre les conseils de ce dernier. Se fier \u00ab&nbsp;de bonne foi&nbsp;\u00bb \u00e0 quelqu\u2019un va au-del\u00e0 de la simple confiance, mais de quoi s\u2019agit-il exactement?<\/p>\n\n\n\n<p>Cette question peut donner lieu \u00e0 plusieurs r\u00e9ponses selon les situations et le type d\u2019expertise, mais une constante demeure&nbsp;: se fier de bonne foi \u00e0 quelqu\u2019un signifie que les administrateurs peuvent interagir avec les experts et prendre en consid\u00e9ration leurs conseils avec le m\u00eame degr\u00e9 d\u2019honn\u00eatet\u00e9, de soin, de diligence et de comp\u00e9tence que celui attendu d\u2019eux en toutes circonstances.<\/p>\n\n\n\n<p>Se fier de bonne foi \u00e0 un expert appelle un processus de s\u00e9lection rigoureux, appuy\u00e9 par des raisons objectives de croire en sa comp\u00e9tence pour traiter le point en question.<\/p>\n\n\n\n<p>\u00c0 titre d\u2019exemple, il ne serait pas avis\u00e9 de consulter un avocat en droit de la famille pour des questions de copropri\u00e9t\u00e9, m\u00eame si cet avocat est un ami personnel d\u2019un administrateur et qu\u2019il propose d\u2019offrir ses services sans frais. De la m\u00eame mani\u00e8re, un conseil d\u2019administration manquerait de diligence et de prudence s\u2019il confiait \u00e0 un avocat ou \u00e0 un comptable l\u2019interpr\u00e9tation d\u2019un plan d\u2019arpentage (responsabilit\u00e9 des g\u00e9om\u00e8tres) ou la v\u00e9rification de la solidit\u00e9 des structures (responsabilit\u00e9 des ing\u00e9nieurs), ou s\u2019il demandait \u00e0 un ing\u00e9nieur de valider l\u2019exactitude des budgets (responsabilit\u00e9 des comptables) ou des livres comptables (responsabilit\u00e9 des auditeurs). Mobiliser l\u2019expertise appropri\u00e9e pour obtenir une r\u00e9ponse \u00e9clair\u00e9e \u00e0 la question, constitue une preuve de diligence et de prudence.<\/p>\n\n\n\n<p>L\u2019honn\u00eatet\u00e9, la prudence et la diligence impliquent \u00e9galement de poser les bonnes questions \u00e0 l\u2019expert et \u00e0 lui transmettre les renseignements pertinents, afin d\u2019obtenir une r\u00e9ponse fiable, notamment expliquer de mani\u00e8re g\u00e9n\u00e9rale la nature du probl\u00e8me et informer l\u2019expert de tous les faits qui s\u2019y rapportent. Toute modification des informations, intentionnellement ou par n\u00e9gligence, dans le but d\u2019induire l\u2019expert en erreur pour obtenir la r\u00e9ponse d\u00e9sir\u00e9e, est inacceptable et ne r\u00e9pond pas \u00e0 l\u2019obligation de se fier de bonne foi \u00e0 cette personne. Pour conclure, se fier de bonne foi \u00e0 quelqu\u2019un veut dire aussi qu\u2019aucune raison valable ne justifie de remettre en cause les conseils de cette personne. Le probl\u00e8me ne r\u00e9side pas dans la comp\u00e9tence ni dans les qualifications, mais dans le fait que, si un administrateur constate que l\u2019expert manque d\u2019\u00e9l\u00e9ments essentiels ou formule des d\u00e9clarations erron\u00e9es ou incoh\u00e9rentes, il est difficile de pr\u00e9tendre qu\u2019il s\u2019en remet de bonne foi aux conseils de cet expert, m\u00eame si la conclusion du rapport vient confirmer exactement ses attentes.<\/p>\n\n\n\n<p>Si un administrateur manque de bonne foi dans sa mani\u00e8re de recevoir et d\u2019appliquer les conseils d\u2019un expert, c\u2019est l\u2019ensemble de la communaut\u00e9 de copropri\u00e9taires qui s\u2019expose \u00e0 un risque, et pas seulement lui.
