Pour toute v\u00e9rification diligente entreprise pour le compte d\u2019un client qui entend vendre ses actions et proc\u00e9der \u00e0 un changement de contr\u00f4le, il est capital d\u2019examiner avec soin la disposition de transfert pour v\u00e9rifier que les exigences de consentement sont bien respect\u00e9es.<\/p>\n<p>Pour l\u2019examen des baux commerciaux dans le cadre du devoir de diligence des soci\u00e9t\u00e9s, l\u2019avocat doit v\u00e9rifier les dispositions de transfert pour d\u00e9terminer s\u2019il faut obtenir le consentement du locateur relativement au changement de contr\u00f4le. Parce qu\u2019un changement de contr\u00f4le n\u2019entra\u00eene pas le changement de la soci\u00e9t\u00e9 signataire du bail \u00e0 titre de locataire, la majorit\u00e9 des baux commerciaux bien r\u00e9dig\u00e9s indiqueront clairement qu\u2019un changement de contr\u00f4le est consid\u00e9r\u00e9 comme une cession de bail, ce qui rend ex\u00e9cutoires les dispositions de transfert.\u00a0 Dans ces cas, si le bail exige le consentement pr\u00e9alable du locateur et que le locataire ne l\u2019obtient pas, il manque \u00e0 son obligation, ce qui permet au locateur d\u2019exercer les recours en cas de \u00ab\u00a0d\u00e9faut\u00a0\u00bb pr\u00e9vu dans le bail et pourrait entra\u00eener la r\u00e9siliation de ce dernier.<\/p>\n<p>La majorit\u00e9 des dispositions pr\u00e9voient que le locateur ne doit pas <u>d\u00e9raisonnablement<\/u> refuser de consentir \u00e0 un changement de contr\u00f4le. Si aucune exigence sur le caract\u00e8re raisonnable n\u2019est \u00e9tablie, l\u2019article\u00a023 de la <em>Loi sur la location commerciale<\/em> stipule que, sauf disposition expresse du bail \u00e0 l\u2019effet contraire, ce consentement ne doit pas \u00eatre d\u00e9raisonnablement refus\u00e9.<\/p>\n<p>La notion de \u00ab\u00a0caract\u00e8re raisonnable\u00a0\u00bb a \u00e9t\u00e9 examin\u00e9e r\u00e9cemment par la Cour d\u2019appel de l\u2019Ontario dans l\u2019affaire <em>Rabin\u00a0v<\/em>. <em>2490918 Ontario\u00a0Inc<\/em>. (2023\u00a0ONCA\u00a049). Le juge a appliqu\u00e9 les facteurs suivants dans son analyse\u00a0:<\/p>\n<blockquote><p>i) C\u2019est au locataire qu\u2019il revient de convaincre le tribunal que le consentement a \u00e9t\u00e9 d\u00e9raisonnablement refus\u00e9.<\/p>\n<p>ii) Ce sont les renseignements \u00e0 la disposition du locateur et les motifs qu\u2019il invoque au moment du refus qui pr\u00e9valent, non les faits ou motifs suppl\u00e9mentaires ou divergents pr\u00e9sent\u00e9s au tribunal par la suite.<\/p>\n<p>iii) La question doit \u00eatre examin\u00e9e \u00e0 la lumi\u00e8re des dispositions actuelles du bail qui encadrent la question de la cession et du droit du locataire de c\u00e9der le bail et de celui du locateur de refuser son consentement.<\/p>\n<p>iv) La probabilit\u00e9 que le sous-locataire propos\u00e9 ne s\u2019acquittera pas de ses obligations aux termes du bail peut \u00eatre, selon les circonstances, un motif valable de refuser le consentement.<\/p>\n<p>v)\u00a0la situation financi\u00e8re du cessionnaire pourrait \u00eatre un motif valable.<\/p>\n<p>vi) La d\u00e9termination du caract\u00e8re raisonnable doit se fonder sur les circonstances particuli\u00e8res du dossier, notamment les r\u00e9alit\u00e9s commerciales du march\u00e9 et les r\u00e9percussions \u00e9conomiques de la cession sur le locateur.<\/p><\/blockquote>\n<p>Si le consentement est refus\u00e9 dans le cadre de la v\u00e9rification diligente d\u2019une transaction de soci\u00e9t\u00e9, l\u2019avocat doit se reporter \u00e0 ces facteurs pour \u00e9tablir le caract\u00e8re raisonnable du refus.\u00a0 Rappelons qu\u2019en situation de changement de contr\u00f4le, l\u2019entit\u00e9 locataire reste la m\u00eame, ce dont l\u2019examen des facteurs doit tenir compte.<\/p>\n<p>Il faut aussi prendre ces facteurs en compte pour la r\u00e9daction du bail d\u2019un client susceptible de vendre son entreprise. Il faut r\u00e9diger avec soin la clause de transfert, qui comprend la d\u00e9finition du transfert, les facteurs dont le locateur doit tenir compte avant de donner ou refuser son consentement et la d\u00e9termination du caract\u00e8re raisonnable de ces facteurs.
