Dans une d\u00e9cision rendue r\u00e9cemment<a href=\"#_ftn1\" name=\"_ftnref1\">[1]<\/a>, la Cour sup\u00e9rieure a \u00e9t\u00e9 appel\u00e9e \u00e0 d\u00e9terminer si un donneur d\u2019ouvrage public avait manqu\u00e9 \u00e0 ses devoirs de renseignement, de collaboration et de loyaut\u00e9 envers son partenaire priv\u00e9 en ce qui concerne la rentabilit\u00e9 d\u2019un projet.<\/p>\n<h2>Faits<\/h2>\n<p>Le 15 octobre 2005, la Ville de Sherbrooke (la \u00ab Ville \u00bb) lance un appel d\u2019offres visant \u00e0 conclure un contrat de partenariat public-priv\u00e9 pour la construction et la gestion d\u2019un centre de soccer int\u00e9rieur (le \u00ab Centre de soccer \u00bb).<\/p>\n<p>Au terme de l\u2019appel d\u2019offres, le contrat est octroy\u00e9 \u00e0 Groupe Axor inc. (\u00ab Axor \u00bb), l\u2019unique soumissionnaire, qui confie \u00e0 sa filiale, Sherax immobilier inc. (\u00ab Sherax \u00bb), la gestion du Centre de soccer.<\/p>\n<p>Dans les documents de soumission, la Ville indiquait que ses besoins de location pour les terrains de soccer, ainsi que ceux des organismes ayant pour mandat d\u2019encadrer la pratique du soccer sur son territoire, \u00e9taient estim\u00e9s \u00e0 4\u2009943 heures par ann\u00e9e. En outre, la Ville garantissait un minimum de 400\u2009000 $ en revenus de location.<\/p>\n<p>Durant les treize ann\u00e9es d\u2019exploitation du Centre de soccer, Axor et Sherax constatent que les heures de location desdits terrains sont nettement inf\u00e9rieures \u00e0 ce qui \u00e9tait pr\u00e9vu lors de l\u2019appel d\u2019offres.<\/p>\n<p>En effet, pendant cette p\u00e9riode, les subventions accord\u00e9es par la Ville aux diff\u00e9rents organismes \u00e9taient limit\u00e9es au minimum n\u00e9cessaire pour g\u00e9n\u00e9rer le revenu de location garanti, soit 400\u2009000 $.<\/p>\n<p>En aucun temps, ces subventions ne suffisaient \u00e0 l\u2019atteinte des 4 943 heures de location \u00e9voqu\u00e9es lors de l\u2019appel d\u2019offres.<\/p>\n<p>De plus, dans l\u2019ann\u00e9e suivant l\u2019ouverture du Centre de soccer, la Ville a am\u00e9nag\u00e9 un terrain synth\u00e9tique \u00e0 proximit\u00e9 du Centre de soccer, faisant ainsi directement concurrence \u00e0 ses partenaires, Axor et Sherax.<\/p>\n<p>Axor et Sherax entreprennent donc un recours afin de r\u00e9cup\u00e9rer leur gain manqu\u00e9.<\/p>\n<p>Ils invoquent que les documents de soumission de la Ville pr\u00e9voyaient qu\u2019un soutien financier serait offert aux organismes de fa\u00e7on \u00e0 assurer la location des terrains de soccer pour un nombre d\u2019heures suffisant pour assurer la viabilit\u00e9 financi\u00e8re du Centre de soccer. Sans cela, les entreprises n\u2019auraient jamais accept\u00e9 d\u2019\u00eatre li\u00e9es par ce contrat.<\/p>\n<p>Axor et Sherax reprochent \u00e0 la Ville d\u2019avoir omis de leur fournir toute l\u2019information pertinente pour leur permettre de mieux \u00e9valuer les risques financiers du contrat. Ils reprochent \u00e9galement \u00e0 celle-ci d\u2019avoir refus\u00e9 de collaborer \u00e0 l\u2019atteinte des objectifs de location du Centre de soccer.<\/p>\n<p>En d\u00e9fense, la Ville pr\u00e9tend qu\u2019elle ne peut encourir aucune responsabilit\u00e9 quant aux besoins de location estim\u00e9s dans l\u2019appel d\u2019offres, car cette estimation n\u2019\u00e9tait pr\u00e9sent\u00e9e qu\u2019\u00e0 titre indicatif. Elle pr\u00e9tend \u00e9galement qu\u2019elle a rempli ses obligations pr\u00e9vues au contrat en s\u2019assurant de garantir un revenu minimal de 400\u2009000 $.<\/p>\n<h2>Jugement<\/h2>\n<p>Dans sa d\u00e9cision, la Cour retient que les repr\u00e9sentants de la Ville savaient que les estimations sur le plan des heures de location pr\u00e9vues au contrat n\u2019allaient pas \u00eatre atteintes sans une contribution financi\u00e8re suffisante de la Ville aux organismes. En l\u2019absence d\u2019une telle contribution, les organismes n\u2019\u00e9taient pas en mesure de louer les terrains de soccer pour un nombre suffisant d\u2019heures.<\/p>\n<p>La Cour estime que la Ville a manqu\u00e9 \u00e0 son obligation de renseignement, de collaboration et de loyaut\u00e9 en ne mentionnant pas \u00e0 Axor et Sherax au moment de la conclusion du contrat qu\u2019elle comptait limiter sa contribution financi\u00e8re au strict n\u00e9cessaire permettant d\u2019atteindre le niveau de revenu de location minimal garanti de 400\u2009000 $.<\/p>\n<p>La Ville a ainsi omis de fournir \u00e0 Axor et Sherax toutes les informations n\u00e9cessaires pour leur permettre d\u2019\u00e9valuer les risques financiers du contrat.<\/p>\n<p>L\u2019utilisation des termes \u00ab estim\u00e9 \u00bb et \u00ab indicatif \u00bb dans les documents d\u2019appel d\u2019offres ne pouvait permettre \u00e0 la Ville d\u2019induire en erreur son cocontractant.<\/p>\n<p>Au surplus, en faisant concurrence \u00e0 celle-ci, la Ville a manqu\u00e9 \u00e0 ses obligations de collaboration et de loyaut\u00e9, lesquelles d\u00e9coulent de l\u2019obligation g\u00e9n\u00e9rale de bonne foi contractuelle.<\/p>\n<p>La Cour a donc d\u00e9termin\u00e9 que les manquements repr\u00e9sentaient des fautes intentionnelles pour lesquelles la Ville devait \u00eatre tenue enti\u00e8rement responsable. La pr\u00e9sence d\u2019une clause pr\u00e9voyant une garantie de revenus de location de 400\u2009000 $ ne pouvait permettre \u00e0 la Ville d\u2019exclure ou de limiter sa responsabilit\u00e9.<\/p>\n<p>La Ville a donc \u00e9t\u00e9 condamn\u00e9e \u00e0 payer la somme de 2\u2009686\u2009492,28 $.<\/p>\n<h2>Conclusion<\/h2>\n<p>Cette d\u00e9cision est int\u00e9ressante, puisqu\u2019elle rappelle l\u2019importance pour un donneur d\u2019ouvrage d\u2019agir de bonne foi, notamment en ce qui a trait aux informations contenues dans ses documents d\u2019appel d\u2019offres, et ce, ind\u00e9pendamment du mod\u00e8le de r\u00e9alisation choisi. En manquant \u00e0 ses devoirs de renseignement, de loyaut\u00e9 et de collaboration dans le cadre d\u2019un partenariat public-priv\u00e9, un donneur d\u2019ouvrage s\u2019expose \u00e0 devoir d\u00e9dommager son partenaire priv\u00e9.<\/p>\n<hr \/>\n<p><a href=\"#_ftnref1\" name=\"_ftn1\">[1]<\/a> Ville de Sherbrooke c.
