In October of 2011, the Canada Not-for-Profit Corporations Act (CNCA) came into force. As a result, every charity or non-profit organization incorporated federally must file articles of continuance with Industry Canada before October 17, 2014 or risk being dissolved. As well, corporations being continued must also prepare and file a new general bylaw right after the articles of continuance.
The articles of continuance and the new bylaw need to be passed by the board and the members of the corporation. For organizations with broad membership, this means that the new governing documents need to be ready for an Annual General Meeting before October 2014.
We have already continued a significant number of our clients into the new statute. However there are many still to go. If your CNCA continuance is not already in process, please call your Miller Thomson contact as soon as possible.
