Bryan Kelling is a member of both Miller Thomson’s Corporate and Mergers and Acquisitions group and Financial Services group. He has extensive and varied experience both as chief counsel for a foreign bank subsidiary in Canada and in private practice, providing practical advice on a diverse variety of domestic and international transactions and business relationships, including mergers and acquisitions, cross-border transactions, domestic and international joint ventures, securitizations and syndications, secured lending, equipment leasing and other financial services.
Bryan also has extensive Canadian federal and provincial regulatory expertise advising Canadian and foreign banks and other financial service providers including captive finance companies, money services businesses, payday lenders, mortgage lenders, debt collection agencies, credit unions, loan companies, payment card service providers and financial technology companies.
He also has particular expertise in both Canadian federal and provincial consumer protection and cost of borrowing legislation, and personal property security regimes, and has extensive experience reviewing, drafting, updating and advising clients regarding standard form customer-facing documents and related processes and procedures.
