{"id":6704,"date":"2021-03-02T23:28:14","date_gmt":"2021-03-03T04:28:14","guid":{"rendered":"https:\/\/www.millerthomson.com\/competition-act-and-investment-canada-act-new-merger-review-thresholds-in-effect\/"},"modified":"2026-03-18T14:46:43","modified_gmt":"2026-03-18T18:46:43","slug":"competition-act-and-investment-canada-act-new-merger-review-thresholds-in-effect-2","status":"publish","type":"post","link":"https:\/\/www.millerthomson.com\/en\/insights\/competition-antitrust-foreign-investment\/competition-act-and-investment-canada-act-new-merger-review-thresholds-in-effect-2\/","title":{"rendered":"Competition Act and Investment Canada Act: New merger review thresholds in effect"},"content":{"rendered":"\n<h2 class=\"wp-block-heading\">Highlights<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The 2021 merger review thresholds under the <em>Competition Act<\/em> (\u201c<strong>CA<\/strong>\u201d) and the <em>Investment Canada Act<\/em> (\u201c<strong>ICA<\/strong>\u201d) (collectively, the \u201c<strong>Thresholds<\/strong>\u201d) are now in full effect until the next annual adjustment.<\/li>\n\n\n\n<li>The Thresholds assist in determining whether a proposed transaction triggers:\n<ul class=\"wp-block-list\">\n<li>a pre-merger notification obligation under the CA; and<\/li>\n\n\n\n<li>an obligation to file an application for review under the ICA.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>This year marks the first time that the Thresholds have <em><strong>decreased<\/strong><\/em>, indicating the profound impact of the COVID-19 pandemic on the Canadian economy.<\/li>\n\n\n\n<li>Note, if a transaction is expected to close after February 13, 2021, we suggest revisiting the CA and ICA analysis to ensure continued compliance in light of the revised Thresholds.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Competition Act<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>To determine whether a transaction triggers a pre-merger notification obligation under the CA, two financial thresholds, namely, the transaction-size threshold and the parties-size threshold, must be satisfied.<\/li>\n\n\n\n<li>The transaction-size threshold has decreased from CAD$96\u00a0million to CAD$93\u00a0million. The parties-size threshold remains unchanged.<\/li>\n\n\n\n<li>The current fee for filing a pre-merger notification is CAD$75,055.68 and is expected to be adjusted on April 1, 2022.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Investment Canada Act<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Transactions by non-Canadian investors to acquire direct control of a Canadian business may require \u201cnet benefit\u201d clearance under the ICA prior to completing the transaction.\u00a0 To determine if clearance is required, one of the thresholds for review must be satisfied.<\/li>\n\n\n\n<li>The thresholds for WTO investors, trade agreement investors, and state-owned or influenced investors have decreased:\n<ul class=\"wp-block-list\">\n<li><strong>WTO investor<\/strong>\n<ul class=\"wp-block-list\">\n<li>2020 threshold: CAD$1.075 billion<\/li>\n\n\n\n<li>2021 threshold: CAD$1.043 billion<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li><strong>Trade agreement investor<\/strong>\n<ul class=\"wp-block-list\">\n<li>2020 threshold: CAD$1.613\u00a0billion<\/li>\n\n\n\n<li>2021 threshold: CAD$1.565 billion<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li><strong>SOE<\/strong>\n<ul class=\"wp-block-list\">\n<li>2020 threshold: CAD$428 million<\/li>\n\n\n\n<li>2021 threshold: CAD$415 million<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>The thresholds for cultural businesses remain unchanged.<\/li>\n\n\n\n<li>Note, even if the thresholds for review are not exceeded, a
