It is the first time that the <em><a href=\"https:\/\/www.ic.gc.ca\/eic\/site\/ica-lic.nsf\/eng\/lk81190.html\">Guidelines on the National Security Review of Investments<\/a><\/em> (the \u201c<strong>Guidelines<\/strong>\u201d) have been updated since being introduced in 2016.<\/p>\n\n\n\n<p>The Guidelines provide helpful insight into the factors that are considered when evaluating whether a proposed investment warrants a national security review.&nbsp; Further, the Guidelines also set out procedures that will be followed should a national security review be initiated.<\/p>\n\n\n\n<p>Of note, the updated Guidelines expand the list of investment attributes that heighten national security risks, which may lead to enhanced scrutiny, namely:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>investments that provide investors access to sensitive personal data, including identifiable health or genetic information, biometrics, financial information, geolocation, etc.;<\/li>\n\n\n\n<li>investments in certain sensitive technologies, including aerospace, biotechnology, artificial intelligence, energy generation, storage and transmission, medical technology, and robotics and autonomous systems, among others; and<\/li>\n\n\n\n<li>investments that may impact Canada\u2019s <a href=\"https:\/\/www.nrcan.gc.ca\/criticalminerals\">critical minerals<\/a>, including copper, helium and potash, among several others, and related supply chains.<\/li>\n<\/ul>\n\n\n\n<p>These changes are indicative of the Government\u2019s efforts to protect and bolster Canada\u2019s economic and national security.&nbsp; Accordingly, potential implications of the ICA\u2019s national security provisions should be considered early when contemplating a proposed investment in Canada.<\/p>\n\n\n\n<p>Should you have any questions or require further information, please do not hesitate to contact the authors of this article.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>All foreign investments in Canada, regardless of dollar value, are subject to the national security provisions of the Investment Canada Act (the \u201cICA\u201d), including greenfield investments.
