The strategy is ambitious. It includes allocating 70% of defence acquisitions to Canadian firms, increasing defence exports by 50%, and creating up to 125,000 jobs by 2035.<sup data-fn=\"980c0d44-87c3-43e0-8fcb-45b992bb938b\" class=\"fn\"><a id=\"980c0d44-87c3-43e0-8fcb-45b992bb938b-link\" href=\"#980c0d44-87c3-43e0-8fcb-45b992bb938b\">1<\/a><\/sup> This is expected to create significant opportunities for small- and medium-sized businesses (\u201c<strong>SMBs<\/strong>\u201d), investors and merger and acquisition (\u201c<strong>M&amp;A<\/strong>\u201d) firms.<\/p>\n\n\n\n<p>Companies looking to position themselves in this sector should familiarize themselves with the new procurement rules, Canadian content requirements, intellectual property issues, and potential increased regulatory scrutiny.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What does the new defence procurement framework entail?<\/h2>\n\n\n\n<p>The strategy is based, in part, on the \u201cBuild-Partner-Buy\u201d framework. The government intends to prioritize domestic production in Canada for capabilities essential to preserving sovereignty. It will collaborate with allies where domestic capacity is insufficient and purchase abroad only when the first two options are not feasible.<\/p>\n\n\n\n<p>This approach could benefit Canadian companies active in sectors such as aerospace, artificial intelligence (\u201c<strong>AI<\/strong>\u201d), cybersecurity, space technologies, sensors, uncrewed and autonomous systems, in-service support, training and simulation, medical countermeasures, shipbuilding, and land systems.<\/p>\n\n\n\n<p>However, companies will need to ensure that their structure, supply chains, and bids comply with applicable requirements, particularly those regarding Canadian content and industrial and technological benefits.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What business opportunities exist for Canadian SMBs?<\/h2>\n\n\n\n<p>SMBs account for 92% of Canada\u2019s defence industrial base<sup data-fn=\"cdf11c39-a193-43e5-9f0a-e5f048d7ab46\" class=\"fn\"><a id=\"cdf11c39-a193-43e5-9f0a-e5f048d7ab46-link\" href=\"#cdf11c39-a193-43e5-9f0a-e5f048d7ab46\">2<\/a><\/sup> and play a central role in the strategy. Security clearances, the Controlled Goods Program, export controls, cybersecurity, data protection, and defence-specific contractual requirements will be essential for staying competitive.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What impact will this have on M&amp;A in Canada?<\/h2>\n\n\n\n<p>The strategy is also expected to stimulate transaction activity in the defence and dual-use technology sectors.<\/p>\n\n\n\n<p>Canadian companies with sovereign capabilities, strategic intellectual property, or expertise in priority sectors may become appealing to strategic buyers, institutional investors, private equity funds, and foreign entrepreneurs looking to expand their presence in Canada.<\/p>\n\n\n\n<p>M&amp;A transactions may include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the acquisition of Canadian SMBs;<\/li>\n\n\n\n<li>the creation of joint ventures;<\/li>\n\n\n\n<li>minority investments; and<\/li>\n\n\n\n<li>strategic partnerships,<\/li>\n<\/ul>\n\n\n\n<p>allowing buyers to access local technologies and capabilities, meet Canadian requirements, grow their presence in Canada, and secure a position in future supply chains.<\/p>\n\n\n\n<p>However, investors should be aware of the possibility of increased regulatory scrutiny, particularly under the <a href=\"https:\/\/ised-isde.canada.ca\/site\/investment-canada-act\/en\"><em>Investment Canada Act<\/em><\/a>, when a transaction involves non-Canadians.
