(\u201c<strong>AuMEGA<\/strong>\u201d) completed the second and final tranche of its brokered private placement of hard dollar units, premium flow\u2011through units and flow\u2011through shares (the \u201c<strong>Offering<\/strong>\u201d) for aggregate gross proceeds of approximately $30.1 million. The Offering was completed in two tranches, with the first tranche closing on March 5, 2026.<\/p>\n\n\n\n<p>Pursuant to the first tranche of the Offering, AuMEGA issued 98,376,589 premium flow\u2011through units at an offering price of $0.0544 per unit, for aggregate gross proceeds of approximately $5.4 million. Pursuant to this second tranche, AuMEGA completed the issuance of the remaining securities under the Offering, resulting in aggregate gross proceeds of approximately $24.7 million.<\/p>\n\n\n\n<p>The Offering was conducted by Clarus Securities Inc. (co\u2011lead agent and sole bookrunner), Canaccord Genuity Corp. (co\u2011lead agent), and BMO Nesbitt Burns Inc.
