(\u201c<strong>Getty Copper<\/strong>\u201d) and its proposed acquisition target, 1390120 B.C. Ltd. (\u201c<strong>Numberco<\/strong>\u201d), completed a brokered private placement of 125,000,000 subscription receipts of Getty Copper and Numberco (collectively, the \u201cSubscription Receipts\u201d) at a price of $0.12 per Subscription Receipt, for total gross proceeds of $15,000,000 (the \u201c<strong>Offering<\/strong>\u201d). Each Subscription Receipt will automatically convert, without any further action by the holder thereof and for no additional consideration, into one&nbsp;Getty Share&nbsp;(on a pre-Consolidation basis) upon closing of the Acquisition.<\/p>\n\n\n\n<p>The Offering was conducted by Clarus Securities Inc. and Velocity Capital Partners as co-lead agents, and Raymond James Ltd.
