(\u201c<strong>AngloGold<\/strong> <strong>Ashanti<\/strong>\u201d), where the Company issued 13,858,883 common shares at a price of $2.79 per common share for gross proceeds of $38,666,284. In connection with AngloGold Ashanti\u2019s investment, the Company and AngloGold Ashanti entered into an investor rights agreement to govern their relationship.<\/p>\n\n\n\n<p>Pursuant to existing investor rights held by Centerra Gold lnc. (\u201c<strong>Centerra<\/strong>\u201d), Centerra exercised its participation right in the private placement to maintain its <em>pro rata<\/em> ownership in the Company and subscribed for 2,059,730 common shares at a price of $2.79 per common share for gross proceeds of $5,746,647.<\/p>\n\n\n\n<p>The Company is Canadian precious metals development company focused on advancing its 100%-owned Lawyers-Ranch Gold-Silver Project (the \u201c<strong>Project<\/strong>\u201d) in British Columbia\u2019s Toodoggone Mining District.
