On August 9, 2022, Village Farms International, Inc. (NASDAQ:VFF) (\u201cVillage Farms\u201d or the \u201cCompany\u201d) announced that it has entered into a Controlled Equity Offering Sales Agreement (the \u201cSales Agreement\u201d) with Cantor Fitzgerald & Co. and A.G.P.\/Alliance Global Partners (together, the \u201cSales Agents\u201d), relating to the offer and sale of the Company\u2019s common shares. In accordance with the terms of the Sales Agreement, under its prospectus supplement and the accompanying prospectus, Village Farms may offer and sell common shares having an aggregate offering price of up to $50,000,000 from time to time through Cantor and A.G.P. acting as Sales Agents.<\/p>\n\n\n\n

Village Farms is a Canadian greenhouse production company with a focus on produce, recreational cannabis, health, and wellness.<\/p>\n\n\n\n

Miller Thomson acted as Canadian counsel to the Sales Agents with a team comprised of Adam Kline, Ian Polisuk and Jessica Modafferi (Capital Markets & Securities); Hayley Coulter (Law Clerk); as well as Raquel Moses (Student).<\/p>\n\n\n\n
