Overview
Ken Phillips practices business law with a focus in a number of areas including securities, corporate finance, private equity, public company and registrant compliance, financial services and real estate. Ken spent the past eleven years as in-house counsel at a multinational real estate syndication and development company and prior thereto was a partner practicing public company securities law in the Calgary office of two international firms. Ken brings practical business sense and sound legal advice to his clients.
As in-house counsel, Ken was involved in structuring and preparing exempt market offerings, raising in excess of one billion dollars. He oversaw the establishment of a Canada-wide exempt market dealer, the establishment of a compliance system in relation thereto and the purchase of a mutual fund dealer including due diligence and advisor retention matters. He also oversaw several German prospectus offerings for in excess of one hundred million dollars. In addition Ken was a member of the disclosure committee for five public issuers involved in real estate and development where he provided counsel in respect of continuous disclosure obligations. He was also involved in dozens of real estate purchase and sale transactions involving thousands of participants, including purchase documentation for Asian syndications of undivided interests in North American land. He also co-managed a legal group with as many as six lawyers, five assistants and three paralegals.
In private practice Ken was involved in numerous TSX and TSXV issuers including IPOs, rights offerings, takeover bids, related-party transactions, qualifying transactions, plans of arrangement, amalgamation, proxy contests, Canadian and U.S. private placements, counselling of board and special committees, regulatory applications and general corporate matters. The issuers were in numerous sectors including consumer products, real estate, oil and gas, mining, marketing, financial services, alternative medicine products, auto parts, health services consolidation and alternative energy products.
