Pascale Cloutier of our Montréal office recently participated in the Canadian Liver Foundation's Mount Kilimanjaro Extreme Challenge. Pascale along with a team from across Canada, climbed to the summit of Mt. Kilimanjaro to raise funds for liver research and education. The team raised over $250,000 in donations and Pascale, who has been actively involved with the Canadian Liver Foundation since 2004, collected $13,000 in pledges. Jeffrey N. Thom, Q.C., succeeds in ASC Sanctions Decision.
The Alberta Securities Commission ("ASC”) released the Merits Decision, and Sanctions Decision respectively, in Hampton Court Resources Inc. The enforcement branch of the ASC had issued a Notice of Hearing to Hampton Court Resources Inc. and two clients of Miller Thomson, who had acted as "finders” of certain investors for Hampton Court while those investors were alleged by the ASC to not qualify for exemptions under the Alberta Securities Act when they invested in securities of Hampton Court.

After a four day hearing, the ASC found in its Merits Decision that "finders” who earn finders fees for introducing investors to Hampton Court as an Alberta issuer company, are themselves in breach of Alberta Securities Laws if the investors turn out not to qualify as being exempt from the company issuing a prospectus. The prosecuting ASC Staff sought Cease Trade Orders of ten (10) years against our clients, and administrative penalties. Miller Thomson argued for a Cease Trade Order of no more than two years, and minimum administrative penalties. The ASC concluded that our clients should be subject to a Cease Trade Order only for two years, and the administrative penalty imposed was virtually identical to the minimum administrative penalty sought by Miller Thomson.

Following a lengthy court battle and after winning before the Superior Court of Quebec and before the Appeal Court of Quebec, the Supreme Court ruled in favour of the Fédération des producteurs acéricoles du Québec, represented by Louis Coallier and Mathieu Turcotte, and confirmed the dissolution of a non-profit organization - i.e. the Regroupement pour la commercialisation des produits de l’érable inc. ("RCPEQ”) - and the vesting of 100% of the RCPEQ’s assets valued over $22 millions, in favour of our client, the Fédération des producteurs acéricoles du Québec.

The Alberta Court of Queen's Bench recently issued, what is likely to become, a leading decision regarding confidential information. After a long-running legal battle, the Court preserved the value of confidential information by imposing a constructive trust over oil and gas property acquired by the defendants. The defendants had acquired the property by using confidential information misappropriated from oil and gas exploration companies. The value of the judgment exceeds $30 million. The Court also dismissed a $300 million counterclaim which had been launched by the defendants. Prior to trial, the counterclaim had been reduced by a successful summary judgment which dismissed over $3.2 billion of damages alleged in the counterclaim. The summary judgment was upheld by the Alberta Court of Appeal in February 2006.

MONTREAL -- Three former Canadian Olympians are among the six new members announced for induction to the McGill Sports Hall of Fame, increasing the total number of honourees to 72 since the shrine opened in 1996 at the McGill Sports Centre. Heading the list is who won three consecutive intercollegiate fencing titles (1946-48) and competed for Canada at the 1948 Olympics in London.

Ontario and British Columbia are expected to become the first provinces to create regimes of statutory civil liability dealing with the secondary securities market (i.e.resale market).
Miller Thomson Successfully Defends Bennett Environmental Inc. Decision
On July 19, 2005, the Federal Court of Appeal upheld the Trial Division’s quashing of the decision of the Minister of the Environment to refer a 95% completed facility to an environmental assessment. The soil decontamination facility, constructed and owned by Bennett Environmental Inc., in Belledune, New Brunswick, had been through a full New Brunswick environmental assessment and was awaiting only its final provincial approval to begin operations.

was awarded the John Kable, QC Memorial Award, at the International Society for the Reform of the Criminal Law conference held at the end of June in Edinburgh, Scotland. This prestigious international award recognizes significant contributions to the aims and objectives of the Society by lawyers with less than ten years of practice experience. The award is a memorial to an Australian barrister who was active in furthering the continuing legal education of younger members of the bar, and was presented to Dwight by Mr. Damian Bugg, QC, the President of the Society and the federal Director of Public Prosecutions for Australia.

Controversial Bill 133 Passed By Legislature
Bill 133 received Third Reading on June 9. Portions of the Bill became law on Royal Assent on June 13, amending the Environmental Protection Act (the "EPA”) and the Ontario Water Resources Act (the "OWRA”). Other portions, particularly those dealing with environmental penalties, will come into force once enabling regulations have been promulgated by Cabinet.
Update: Recent Amendments to the Toronto Stock Exchange Company Manual
The Toronto Stock Exchange ("TSX") has amended its Company Manual effective January 1, 2005. The purpose of these amendments was to remove certain unwritten TSX rules, such that issuers have access to a transparent set of standards and practices.

The Rt. Hon. John N. Turner was asked by Prime Minister Paul Martin to lead the Canadian delegation to the Ukraine to oversee the election held on December 26, 2004. Oleh Ilnyckyj of Miller Thomson's Vancouver office was also a member of the delegation.
