Our Services

Under the supervision of our lawyers, the Corporate Services Department assists corporations and other entities with:

CORPORATE PROCEDURES

  • Incorporation, organization, corporate changes (including changes in officers and directors, registered office, share transfers, banking, etc.), annual proceedings, amalgamation, continuation, extra-provincial registration, dissolution and revival
  • Tax and other governmental registrations, including Canada Revenue Agency and provincial tax accounts, Worker’s Compensation, etc.
  • Acquisitions, mergers, financings, reorganizations and restructurings, including preparing documents, conducting minute book reviews and due diligence, preparing search reports, attending to post-closing matters, and preparation of record books

Our senior corporate law clerks and paralegals also have specialized expertise, including:

  • Involvement at a senior level on transactions
  • Not-for-Profit Corporations, including incorporation and organization, by-law preparation and analysis, charitable registration, reorganization, re-structuring, corporate maintenance and compliance

CORPORATE/COMMERCIAL SEARCHING AND FILINGS

  • Conducting searches under the business statutes in each jurisdiction in Canada and, where required, preparing related detailed reports (e.g., Personal Property Securities Act registration summary, etc.)
  • Initiating and organizing searches and filings in foreign jurisdictions
  • Obtaining Certificates of Status, Certificates of Compliance, Good Standing Certificates and certified copies of corporate documents filed with government bodies
  • Arranging for filing of corporate/commercial documents with government bodies
  • Preparing detailed search reports on the life of a corporation

 CORPORATE COMPLIANCE

  • Conducting corporate and business name searches
  • Conducting trade-mark searches
  • Filing annual returns and licence renewals
  • Registering business names and making related amendments, renewals and cancellations across Canada
  • Registering sole proprietorship, partnership and LLCs in Canada and making related amendments, renewals and cancellations
  • Filing notices of change of directors, officers (where required) and registered office in all Canadian jurisdictions
  • Keeping minute books, statutory registers and ledgers up-to-date
  • Initiating preparation of annual meeting/resolution documents within the required timeframe
