Profile
Antonio Fratianni specializes in Business Law and is an Associate Counsel at the Montreal office of Miller Thomson. He has considerable experience in domestic and cross-border mergers and acquisitions, insolvency and business restructurings, corporate governance and securities regulation in both the financial services and forestry industries.
Prior to joining Miller Thomson, Mr. Fratianni held the position of Vice-President, General Counsel and Secretary of Tembec Inc., a leading forest products company with operations in North America and France. Along with a small group of other key executives, Mr. Fratianni provided overall stewardship, and advised on various aspects, with respect to an innovative recapitalization of the company’s balance sheet under the CBCA whereby US $ 1.2 billion of outstanding public debt was converted into 95% of the equity of a new publicly-traded company thereby avoiding an insolvency filing. During his tenure, Mr. Fratianni also advised and led transactions related to numerous asset dispositions and regularly advised Senior Management and the Board of Directors and its committees on sensitive corporate governance, public disclosure and compensation plan matters.
Prior to that, Mr. Fratianni held the position of Senior Counsel, Mergers and Acquisitions at Royal Bank of Canada. In this role, he advised and led large teams of internal and external lawyers regarding some of the financial institution’s most significant transactions, including an acquisition of a US-based financial institution for CAD $ 3.5 billion and the creation of a cross-border and Canadian market-leading joint venture in the payment card transaction processing field.
Mr. Fratianni approaches the practice of law in a business-like manner with a focus on facilitating the achievement of business objectives.
