On August 31, 2016, four leading Canadian wholesale distributors – Pneus Unimax Ltd., Distribution Pneus RT Ltd., Services de Pneus Desharnais Inc. and Pneus Ratté Inc. – formed a strategic partnership that will go to market under the name Stox Distribution (“Stox”).
Miller Thomson advised Unimax Tires Ltd. on its subscription in the share capital of Stox with a team that included Simon Labrecque, Claude Picard, Eloïse Gagné and Stéphanie Normandin. In addition, Miller Thomson advised Unimax with respect to a related financing with one of Canada’s leading banks with a team that included Francis Trifiro, Simon Labrecque, Eloïse Gagné, Stéphanie Normandin and Eve Tessier.
Miller Thomson also advised Stox on the creation of the partnership, including the asset acquisitions of Distribution Pneus RT Ltd., certain assets of Service de Pneus Desharnais Inc. (Distribution DSP), and assets of Pneus Ratté Inc. (Distribu-Pneus), with a team that included Michel La Roche, Simon Labrecque, Claude Picard, Eloïse Gagné, Stéphanie Normandin and Chantal Joubert. A separate team advised Stox on a syndicated financing with several of Canada’s leading banks that included Michel La Roche, Francis Trifiro, Simon Labrecque, Eloïse Gagné, Stéphanie Normandin and Eve Tessier.
